Overview

Welcome to Technixx. The terms “we”, “us” and “our” refer to Technixx. Technixx operates this website and online store, including all related information, content, features, tools, products and services (the “Services”). Technixx is powered by Shopify, which enables us to provide the Services to you.

We currently offer the Services to customers in the United Kingdom, the United States, Canada, and Australia.

These Terms of Service, together with our Privacy Policy and Refund Policy (collectively, the “Terms”), describe your rights and responsibilities when you use the Services. Please read them carefully, as they include important information about your legal rights.

By visiting, interacting with, or using our Services, you agree to be bound by these Terms. If you do not agree, you should not use or access our Services.

Nothing in these Terms affects your statutory rights as a consumer. This policy does not exclude, restrict, or modify any consumer rights or guarantees that cannot be excluded under applicable law, including:

(a) If you are a UK consumer, your statutory rights under the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

(b) If you are an Australian consumer, the consumer guarantees under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010).

Where these Terms conflict with your statutory rights or consumer guarantees, your statutory rights will prevail.

1. Access and Account

By agreeing to these Terms, you represent that you are at least 18 years of age, or the age of majority in your jurisdiction if different, and you have given us your consent to allow any of your minor dependents to use the Services on devices you own, purchase or manage.

To use the Services, including browsing our store or purchasing products, you may be asked to provide certain information such as your email address, billing, payment and shipping details. You represent and warrant that all information you provide is correct, current and complete and that you have all rights necessary to provide it.

You are solely responsible for maintaining the security of your account credentials and for all activity under your account. You may not transfer, sell, assign or license your account to any other person.

2. Our Products

We make every effort to provide accurate representations of our products in our online store. However, colours and appearance may differ slightly from what you see on screen due to your device type, display settings and configuration. Such minor variations in colour rendering do not constitute a defect or a mismatch with the product description.

All product descriptions are subject to change at any time without notice at our discretion. We reserve the right to discontinue any product at any time and may limit the quantities of any products we offer to any person, geographic region or jurisdiction, on a case-by-case basis.

Your statutory rights are not affected. All products sold to UK consumers must be of satisfactory quality, fit for purpose and as described, in accordance with the Consumer Rights Act 2015. All products sold to Australian consumers are subject to consumer guarantees under the Australian Consumer Law, including that goods must be of acceptable quality, match their description, and be fit for any disclosed purpose. These rights cannot be excluded by any term in this agreement.

3. Orders

When you place an order, you are making an offer to purchase. Technixx reserves the right to accept or decline your order for any reason at its discretion. Your order is not accepted until we confirm acceptance. We must receive and process your payment before your order is accepted.

Please review your order carefully before submitting, as we may be unable to accommodate cancellation requests after an order has been accepted. In the event that we do not accept, amend, or cancel an order, we will attempt to notify you using the contact details provided at the time of ordering.

Your purchases are subject to our Refund Policy, which forms part of these Terms. You represent and warrant that your purchases are for personal or household use and not for commercial resale or export.

4. Prices and Billing

Prices, discounts and promotions are subject to change without notice. The price charged for a product will be the price in effect at the time the order is placed, as confirmed in your order confirmation email. Unless otherwise expressly stated, posted prices do not include taxes, shipping, handling, customs or import charges.

US and Canadian customers: You may be responsible for customs duties, import taxes and any other charges levied by your country’s customs authorities. These charges are your responsibility and are not included in our product prices or shipping costs.

Australian customers: Prices displayed to Australian customers may or may not include Australian Goods and Services Tax (GST). Where GST applies, it will be indicated at checkout. You may also be liable for customs duties on goods valued above A$1,000.

You agree to provide current, complete and accurate purchase, payment and account information for all purchases. You agree to promptly update your account and payment information so that we can complete your transactions and contact you as needed.

5. Shipping and Delivery

All delivery times provided are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, customs processing, or events outside our control.

UK customers: Risk of loss or damage to products passes to you when you (or a person you have nominated to receive the goods) take physical possession of the products, in accordance with the Consumer Rights Act 2015. If a product is lost or damaged in transit before delivery, please contact us and we will arrange a replacement or refund.

Australian customers: Products purchased online are covered by the Australian Consumer Law, including consumer guarantees relating to the supply of goods. If your product is lost or damaged in transit, please contact us and we will arrange a replacement or refund in accordance with your consumer guarantee rights.

US and Canadian customers: Once a product has been handed to the shipping carrier, title and risk of loss passes to you. We recommend purchasing shipping insurance for high-value orders where available.

6. Returns and Refunds

Returns and refunds are handled in accordance with our Refund Policy. A summary of your key rights is set out below. In the event of any conflict between this summary and the full Refund Policy, the Refund Policy shall prevail.

Faulty, damaged or not-as-described items (all customers): If a product arrives faulty, damaged, or materially different from its product description, contact us within 30 days of delivery and we will arrange a refund or replacement. We will cover reasonable return postage costs for confirmed faulty or not-as-described items.

Australian customers — consumer guarantee rights: Under the Australian Consumer Law, if a product has a major failure, you may choose a refund or replacement. If a product has a minor failure, we may choose to offer a repair, replacement, or refund within a reasonable timeframe. These rights are not limited by the 30-day contact window above and apply for a reasonable period having regard to the nature and price of the product.

Change of mind — UK customers: Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you have the right to cancel your order within 14 days of receiving it, for any reason. You must return the item unused and in its original packaging at your own cost. We will process your refund, including standard delivery costs, within 14 days of receiving the returned item.

Change of mind — US, Canadian, and Australian customers: We do not offer refunds or exchanges for change of mind on non-faulty items for orders shipped to the United States, Canada, or Australia. This does not affect Australian customers’ rights under the Australian Consumer Law for products that fail to meet consumer guarantees.

7. Intellectual Property

Our Services, including but not limited to all trademarks, brands, text, displays, images, graphics, product reviews, video, audio, and the design, selection and arrangement thereof, are owned by Technixx, its affiliates or licensors and are protected by applicable intellectual property laws.

These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any material from the Services without our prior written consent.

Technixx’s names, logos, product and service names, designs and slogans are trademarks of Technixx or its affiliates or licensors. You must not use such trademarks without our prior written permission. Shopify’s name, logo, product and service names, designs and slogans are trademarks of Shopify. All other names, logos, product and service names, designs and slogans on the Services are the trademarks of their respective owners.

8. Third-Party Tools

You may be provided with access to tools offered by third parties as part of the Services, which we neither monitor nor control. You acknowledge and agree that we provide access to such tools “as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement.

We shall have no liability arising from or relating to your use of optional third-party tools. Any use of such tools is entirely at your own risk, and you should ensure that you are familiar with and approve of the terms on which they are provided by the relevant third-party provider.

9. Third-Party Links

The Services may contain links to websites operated by third parties. We are not responsible for examining or evaluating the content or accuracy of any third-party materials or websites. If you choose to access third-party sites, you do so at your own risk.

We are not liable for any harm or damages related to your access of any third-party websites, or your purchase or use of any products, services, resources or content on any third-party websites.

10. Relationship with Shopify

Technixx is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with Technixx. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Technixx, including any injury, damage or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages and liabilities arising from or related to your purchases and transactions with Technixx.

11. Privacy

All personal information we collect through the Services is subject to our Privacy Policy and certain personal information may be subject to Shopify’s Privacy Policy. By using the Services, you acknowledge that you have read these privacy policies.

Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services. Information you submit to the Services will be transmitted to and shared with Shopify as well as third parties that may be located in countries other than where you reside.

12. Feedback and Reviews

If you submit any ideas, suggestions, feedback, reviews, or other content (“Feedback”), you grant us a perpetual, worldwide, sublicensable, royalty-free licence to use, reproduce, modify, publish, distribute and display such Feedback in any medium for any purpose, including commercial use.

You represent and warrant that you own or have all necessary rights to any Feedback you submit, and that your Feedback does not violate any right of any third party, including copyright, trademark, privacy or other personal or proprietary rights.

We may, but have no obligation to, monitor, edit or remove Feedback that we determine in our sole discretion to be unlawful, offensive, threatening, libellous, defamatory, obscene, or otherwise objectionable, or that violates any party’s intellectual property or these Terms.

13. Errors, Inaccuracies and Omissions

Occasionally there may be information on the Services that contains typographical errors, inaccuracies or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times or availability. We reserve the right to correct any errors, inaccuracies or omissions and to change or update information or cancel orders if any information is inaccurate at any time without prior notice, including after you have submitted your order. Where an order is cancelled due to our error, you will receive a full refund.

14. Prohibited Uses

You may access and use the Services for lawful purposes only. You may not access or use the Services, directly or indirectly, for any unlawful or malicious purpose; to violate any applicable laws or regulations; to infringe upon our or any third party’s intellectual property rights; to harass, abuse, insult, harm, defame or intimidate any person; to transmit false or misleading information; to transmit viruses or any other type of malicious code; to collect or track the personal information of others; or to interfere with, bypass, or circumvent the security or authorisation features of the Services.

We reserve the right to suspend, disable, or terminate your account at any time, without notice, if we determine that you have violated any part of these Terms.

15. Agents

This section applies if you use, allow, enable or cause the deployment of an “Agent” to access, use or interact with the Services. “Agent” means any software or service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, any person or entity.

No Agent may access, use or interact with the Services unless it identifies itself and operates in strict accordance with these Terms at all times. No Agent may access the Services if we have requested that it refrain from doing so. We may limit, including by technical measures, whether and how any Agent accesses the Services.

Agents must: (i) identify themselves as an Agent in all HTTP/HTTPS requests by including “Agent/[agent name]” in the user agent string; (ii) not conceal or obfuscate that access is from an Agent, such as by mimicking human behaviour or circumventing CAPTCHAs; (iii) respond truthfully to any question or prompt intended to determine if interactions are from a human or a computer; and (iv) not circumvent or avoid any measure intended to block, limit or control Agent access to the Services.

16. Termination

We may terminate this agreement or your access to the Services (or any part thereof) in our sole discretion at any time without notice. You will remain liable for all amounts due up to and including the date of termination.

The following sections will continue to apply following any termination: Intellectual Property, Feedback and Reviews, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Governing Law, and any other provisions that by their nature should survive termination.

17. Disclaimer of Warranties

This section does not apply to, and does not exclude or limit, any rights you have under the Consumer Rights Act 2015, the Australian Consumer Law, or any other statutory rights which cannot be excluded or limited by law.

Except as expressly stated by Technixx, and subject to your statutory rights and consumer guarantees, the Services and all products offered through the Services are provided “as is” and “as available” for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, fitness for a particular purpose, durability, title and non-infringement. We do not guarantee that your use of the Services will be uninterrupted, timely, secure or error-free.

18. Limitation of Liability

Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any breach of the terms implied by the Consumer Rights Act 2015; (d) any liability that cannot be excluded under the Australian Consumer Law, including liability for failure to comply with consumer guarantees; or (e) any other matter in respect of which it would be unlawful for us to exclude or limit our liability.

Subject to the above, to the fullest extent permitted by law, Technixx, our partners, directors, officers, employees, affiliates, agents, contractors, service providers and licensors, and those of Shopify and its affiliates, shall not be liable for any indirect, incidental, punitive, special or consequential damages of any kind, including without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of the Services or any products procured using the Services.

19. Indemnification

You agree to indemnify, defend and hold harmless Technixx, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers from any losses, damages, liabilities or claims, including reasonable legal fees, arising out of or relating to: (1) your breach of these Terms; (2) your violation of any law or the rights of a third party; or (3) your access to and use of the Services.

This indemnification obligation does not apply to the extent that any loss, damage, liability or claim arises from our own negligence or breach of these Terms.

20. Severability

If any provision of these Terms is determined to be unlawful, void or unenforceable, such provision shall be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms. Such determination shall not affect the validity and enforceability of any remaining provisions.

21. Entire Agreement

The failure of us to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and us and govern your use of the Services, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written. Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.

22. Assignment

You may not delegate, transfer or assign this agreement or any of your rights or obligations under these Terms without our prior written consent, and any such attempt will be null and void. We may transfer, assign or delegate these Terms and our rights and obligations without your consent or notice to you.

23. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.

Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except that:

(a) If you are a consumer resident in another part of the United Kingdom, you may also bring proceedings in the courts of your country of residence.

(b) If you are a consumer resident in Australia, nothing in these Terms limits your right to bring an action in an Australian court or tribunal, including under the Australian Consumer Law. Any provision of these Terms that is inconsistent with mandatory provisions of the Australian Consumer Law is, to the extent of the inconsistency, void.

(c) If you are a consumer resident in the United States or Canada, you may bring proceedings in accordance with the applicable laws of your state or province of residence.

Nothing in this section limits the right of any party to seek interim or injunctive relief in any competent court.

We reserve the right, in our sole discretion, to update, change or replace any part of these Terms by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. We will notify you of any material changes in accordance with applicable law, and such changes will be effective on the date specified in the notice. Your continued use of or access to the Services following the posting of any changes constitutes acceptance of those changes.
